Terms
Last updated: 26 September 2026
The short version
- Your club is buying advice, not delivery. Your volunteers do the work, and the decisions are the club's.
- The Digital Review is £750 plus VAT (free for founding clubs), and you keep everything it produces whatever you decide.
- Club CTO is £100 a month plus VAT, paid monthly by Direct Debit or card, on a twelve-month contract that renews each year. I write to you 60 days before each renewal date, and you can cancel with 30 days' notice before it. If it isn't working in the first 90 days, you can leave early: you pay for the months you've had, and nothing after.
- Please don't send me your members' personal data. I don't need it.
- If something goes wrong, tell me and I'll put it right.
About these terms
1. Who I am
Salloway is a trading name of Aurelia Technology Consulting Limited, a company registered in England and Wales (company number 14957218), registered office Collingwood Buildings, Collingwood Street, Newcastle upon Tyne NE1 1JF. In these terms, "I", "me" and "my" mean the company. The services are delivered by Nick Salloway.
2. Who you are
"You" and "the club" mean the sailing club buying the service. The person who signs the service agreement for the club confirms that the club's committee (or whoever the club's rules give that power to) has agreed to it.
3. How we agree
3.1 We have an agreement when we have both signed a service agreement. I send it to you for electronic signature. The agreement is made up of the signed service agreement, these terms and anything else we agree in writing, such as the scope for a project day.
3.2 If anything in the service agreement or a written scope conflicts with these terms, the service agreement or scope wins for that piece of work.
3.3 These terms apply to clubs. They don't apply to anyone buying for themselves as an individual.
4. Prices
All prices are in pounds sterling and are plus VAT at the standard rate. The prices on this website apply to new service agreements. Prices may change from time to time. If the price of your Club CTO subscription changes, the new price will only apply from your next renewal date, and I'll tell you in the renewal letter (clause 7.2).
The services
5. Digital Review
5.1 What it is. A short questionnaire and tool inventory before we start; a first session of about 90 minutes by video with your committee and whoever does the digital work; a review of your tools, website, membership and payments, communications and data protection basics between sessions; and a second session of 60 to 90 minutes to walk through my findings. After the second session I send you the final roadmap and the other documents.
5.2 What you get. A Digital Roadmap for the season ahead (three to five priorities, in order, with rough cost and effort); a recommended set of tools with their monthly and annual costs, and what to stop paying for; a role description for a club digital officer; and a one-page summary for the minutes and the AGM. It usually takes three to four weeks from start to finish.
5.3 Price. £750 plus VAT, or free for founding clubs (clause 6).
5.4 Payment. I invoice half the price when we sign the service agreement and half when I send you the final roadmap. Each invoice is due within 14 days.
5.5 Moving a session. Give me 48 hours' notice and we'll find another time. If a session is missed without notice, I'll offer one more date. After that, I may complete the review from what I already have.
5.6 Cancelling. If you cancel before the first session, I'll refund your first payment in full. If you cancel after the first session, the second payment is still due, because most of the work happens between the sessions and you keep what I've produced.
6. Founding clubs
6.1 The first six clubs to be accepted as founding clubs get the Digital Review free, with no obligation to buy anything else. The club keeps every document the review produces, whatever it decides.
6.2 In return, the club agrees to give honest feedback on the service and the price, to work with me on a short case study, and to act as a reference if it's happy with the work. I won't publish a case study, or any person's name, words or photo, until the club has approved it.
6.3 If the club signs up for Club CTO within 30 days of receiving the final roadmap, the subscription is £75 a month plus VAT for the first twelve months. From the first renewal date it is the standard price, which I'll confirm in the renewal letter.
6.4 The founding offer isn't open to clubs that are already in discussion about using Sail (see clause 9.2). Places are offered at my discretion and the offer ends when six places are taken.
7. Club CTO
7.1 The contract. Club CTO is a twelve-month contract starting on the date the service agreement is signed. It renews for a further twelve months on each anniversary of that date (the "renewal date") unless you cancel.
7.2 The renewal letter. At least 60 days before each renewal date, I'll write to the club's main contact to remind them the renewal is coming up, confirm the price for the next year (including any change), and give the committee time to decide.
7.3 Cancelling at renewal. To stop at the end of a contract year, give me at least 30 days' notice before the renewal date, by email to the address in your service agreement. The service continues until the renewal date. If your notice reaches me less than 30 days before the renewal date, the contract renews for a further twelve months and your notice takes effect at the end of that year.
7.4 Cooling-off. You can cancel for any reason within 14 days of signing the service agreement, and I'll refund what you've paid. If a clinic has already taken place, I keep that month's fee.
7.5 If it isn't working. If Club CTO isn't working for your club in the first 90 days of your first contract year, tell me. If we can't put it right together, you can end the contract by giving 30 days' notice. You pay the monthly fee until your notice ends, fees already paid aren't refunded, and nothing more is due after that. After the first 90 days, the contract runs for the full twelve months.
7.6 Price and payment. £100 a month plus VAT, or £75 a month plus VAT in the first year for founding clubs. Paid monthly in advance by Direct Debit or card, starting when the service agreement is signed.
7.7 What's included.
- Every month: a 45-minute clinic by video with your digital officer, or whoever is doing the work, and email questions within fair use.
- Every season: a refresh of your roadmap, before the season (February or March) and after it (October or November).
- Every quarter: a half-page note to the committee on where the club's digital plan stands.
- Always: access to the toolkit of guides, templates, tool comparisons and how-tos.
- Founding clubs also get: a quarterly founders' group call, a say in what goes into the toolkit, and the club's name on this website (only if the club agrees).
7.8 Fair use. I answer short email questions within three working days. If a question needs more than a short answer, we'll pick it up at the next clinic.
7.9 Clinics. We agree a time each month. A clinic can be moved within the same month, but a clinic that isn't used doesn't carry over to the next month.
7.10 What isn't included. Doing the work itself (building websites, writing newsletters, data entry or setting up systems), helpdesk or emergency support, managing migrations to new systems, and negotiating with suppliers beyond advice. If you want a project led, see clause 8.
7.11 When it ends. The club keeps its roadmaps, notes and other documents I've written for it. Access to the toolkit ends.
8. Project days
8.1 For a club that wants me to lead a project (such as a system migration, a change to payments or a new website) rather than advise on it. £500 a day plus VAT, delivered online.
8.2 We agree the scope, the number of days and the dates in writing before the work starts. If the scope changes, we agree the change in writing first.
8.3 I invoice at the end of each month for the days worked, and invoices are due within 14 days.
8.4 If you cancel a booked day with less than five working days' notice, half the day rate is payable.
Working together
9. What you can expect from me
9.1 I'll do the work with reasonable skill and care, and give you my honest view, including when the answer is to keep what you've got.
9.2 I founded Sail. If I ever think Sail is the right answer for your club, I'll say so in writing, explain why, and set out at least one alternative.
9.3 I don't take commissions, referral fees or other payments from any supplier I recommend.
9.4 Tool prices and features change. The costs in my recommendations are correct when I write them, but please check them with the supplier before you commit.
10. What I need from you
10.1 A named main contact, and the people we agree should be involved turning up to the sessions.
10.2 Accurate information, in good time. The more I know about how your club really works, the more useful my advice will be.
10.3 The decisions are the club's. The club remains responsible for its systems, its contracts with suppliers, its members' data and its compliance with the law, including data protection law.
11. Personal data
11.1 I don't need your members' personal data to advise you. Please don't send it to me. Where an example would help, use made-up or anonymised records.
11.2 If I see members' data in passing, for example on a shared screen, I won't copy, record or keep it.
11.3 If a project ever needs me to handle members' data, we'll sign a separate data processing agreement before it starts.
11.4 How I handle the personal data of the people I work with at your club is explained in my privacy policy.
12. Confidentiality
12.1 I'll keep your club's information confidential and only use it to work with you. You'll do the same with anything I tell you is confidential.
12.2 I may use what I learn in general terms, without naming your club or anyone in it, for example in a blog post about common problems clubs face. Naming your club needs your agreement.
12.3 Confidentiality doesn't apply to information that is already public, or that the law requires to be disclosed.
13. Who owns what
13.1 The documents I write for your club (roadmaps, tool recommendations, role descriptions, summaries and committee notes) are for the club to use, share with its members and adapt, for as long as it wants, whether or not it keeps working with me.
13.2 I keep ownership of everything I bring to the work or develop while doing it, including my methods, processes, frameworks, templates, checklists, the toolkit and my general know-how, and I can reuse all of it with other clubs. Clause 13.1 sets out how your club can use the documents I write for it. The toolkit is for your club's own use while you subscribe. Please don't share it outside the club.
14. Liability
14.1 My total liability to the club under any agreement is limited to the fees the club paid me in the twelve months before the claim, or £1,000, whichever is higher.
14.2 I'm not liable for indirect losses, lost income, or losses caused by the club's own decisions, its suppliers or third-party tools, including tools I recommended.
14.3 Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
15. Late payment
If an invoice or monthly payment is more than 30 days late, I'll remind you first. If it's still unpaid after that, I may pause the service until it's paid, and I may charge interest on the amount owed at 8% a year above the Bank of England base rate, from the date it was due until it's paid. This is the rate set by the Late Payment of Commercial Debts (Interest) Act 1998.
16. Ending the agreement early
16.1 Either of us can end the agreement straight away by email if the other commits a material breach of these terms (a serious breach, not a minor slip) and hasn't put it right within 30 days of being asked.
16.2 Either of us can end it straight away if the other stops operating, is wound up or becomes insolvent, or, for the club, is dissolved.
16.3 I can end a Club CTO subscription by giving 60 days' notice, for example if I stop offering the service.
16.4 If the agreement ends under clause 16.3, or because I have committed a material breach, nothing more is due for the time after it ends, and I'll refund anything you've paid in advance for that time.
17. Things outside our control
Neither of us is responsible for delays caused by things we can't reasonably control, such as illness, a major internet or supplier outage, or extreme weather. If that happens, we'll agree new dates.
18. Changes to these terms
I may update these terms from time to time, and I'll change the date at the top when I do. For an existing Club CTO subscription, changes apply from the next renewal date, and I'll set them out in the renewal letter.
19. Complaints and disputes
If something isn't right, tell me by email, at the address in your service agreement, and I'll try to put it right quickly. These terms are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute.
Using this website
20. Website terms
20.1 The content of this website and the blog is general information about technology for sailing clubs. It isn't advice for your particular club. For that, book a Digital Review.
20.2 Links to other websites are there for your convenience. I'm not responsible for their content.
20.3 The words, graphics and design of this site belong to Aurelia Technology Consulting Limited. You're welcome to quote a short passage with a link back. Please ask before reusing anything more.
20.4 I try to keep the site accurate and available but can't promise it will always be both. Prices and offers on the site can change, and the price that applies to your club is the one in your service agreement.
